Background

Ms. Horowitz has been practicing in New York City since 1985 in the areas of corporate and securities law, general business and corporate counseling, mergers and acquisitions, venture capital finance, the representation of startup and emerging growth companies and the representation of activist investors in proxy contests. She has represented both public and private companies of varying sizes and structures in a diverse array of industries. Ms. Horowitz has represented lenders, venture capitalists, investment banks, private equity funds, and high net worth individuals and other investors in corporate and securities matters.

Experience

Ms. Horowitz began her career as a corporate associate at Cravath, Swaine & Moore where she worked on a broad range of matters including initial public offerings, mergers and acquisitions, hostile tender offers, project finance and the creation of tax advantageous real estate investment vehicles. She has worked for several law firms and a global financial institution.

Representative corporate work includes angel and venture capital financings, private placements of securities, lending transactions, the creation of stock option and other employee benefit plans, employment and consulting agreements, confidentiality and non-competition agreements, securities law compliance matters, buy/sell agreements, joint ventures, partnership agreements and LLC operating agreements and related documents.

In addition to her experience in corporate law matters, Ms. Horowitz also has practiced in the areas of commercial real estate law, including loan workouts, restructures and foreclosures, and bankruptcy law representing a number of creditors committees and debtors in Chapter 11 bankruptcy filings.
